In no event shall our total liability to you for all claims exceed the amount paid by you to Gullie.io for the Services during the twelve (12) month period prior to the date of the claim.

We make no warranties or representations about the accuracy or completeness of the content provided through the Services or the content of any websites linked to the Services.

11. Indemnification

You agree to indemnify, defend, and hold harmless Gullie.io, its affiliates, officers, directors, employees, consultants, agents, and representatives from any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that arise from or relate to:

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.

14. Dispute Resolution

Any dispute arising from or relating to these Terms or our Services will first be resolved through good-faith negotiations. If such negotiations are unsuccessful, the dispute shall be finally resolved by binding arbitration in accordance with the rules of the American Arbitration Association.

The arbitration shall be conducted in English and shall take place in Delaware. The arbitration award shall be final and binding on both parties.

You and Gullie.io agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

15. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and Gullie.io regarding the Services.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

Assignment: You may not assign or transfer these Terms without our prior written consent, but we may assign or transfer these Terms without restriction.
